In today’s knowledge-based economy, technology and intellectual property licenses are important to any company, and rights under intellectual property license agreements often constitute one of a company’s most important business assets. In this course, our panelists discuss the contents and structure of an effective license agreement, highlighting some of the key substantive and drafting issues. Topics include key definitions; grant scope and limitations; licensee performance obligations; most favored licensee; third party infringers; and assignability. Separate consideration is given to some of the key points in patent license agreements, on the one hand, and in technology transfer or “knowhow” license agreements, on the other.
