Widespread access to the Internet has accelerated the incorporation of electronic communications into the mainstream of business communications. No longer limited to inner-office correspondence, electronic communications are increasingly becoming the means of written communication between contracting parties. This course explores the intersection between technology and contract law. Specific topics include the advantages and disadvantages of using electronic communications to deliver information; the applicability of the Uniform Commercial Code and the common law of licenses to electronic transactions; the Uniform Computer Information Transactions Act, applicable to software licenses and other transactions involving computer information; the "battle of forms" in our electronic age; determining when an email constitutes an offer or acceptance of an offer; enforceability of unsigned electronic forms and click-wrap agreements; and drafting tips for electronic contracts.
