Whether you are a plaintiff’s personal injury lawyer or a commercial litigator looking for the "deep pocket" to collect a judgment, a defense attorney who represents small corporations, or an attorney who counsels small businesses, this course is a must-attend. While the doctrine of piercing the corporate veil is not new, new developments in the law have broadened its application in ways that practitioners need to understand. As a tool for the personal injury attorney and, increasingly, the commercial litigator, it is a way to reach the assets of a wealthier parent corporation or an individual.

  • Plaintiffs’ attorneys will learn how best to frame their pleadings, obtain the pertinent records in discovery, utilize forensic accountants and other experts, and ultimately prevail on veil-piercing theories.
  • Defense attorneys will learn strategies for eliminating veil-piercing claims at the pleadings stage, keeping discovery from being a fishing expedition, and defeating claims at trial.
  • General practitioners and business lawyers who set up corporate entities for "mom and pop shops" and other small businesses will learn how to counsel their clients to avoid the risks of attempts to pierce the corporate veil in litigation.
    The ability to pierce the corporate veil is a powerful exception to limited liability that shareholders of a corporation generally have. That insulation is only available to entities which "behave" like a corporation.

With the wide array of corporate structures, it is essential to understand how this doctrine applies to LLC’s, PC’s, Subchapter S corporations and other forms of corporations.Our faculty will examine formulation, the policies and procedures that should be followed by business in order to take advantage of and maximize the liability protection of corporate status and the approaches to bringing and defending lawsuits that attempt to "pierce the corporate veil."
