When a corporation or business partnership dissolves and there is a dispute among the owners, there are myriad legal considerations and ramifications. This informative and insightful program will feature a panel of experienced practitioners discussing the legal issues that attorneys must help clients address during the dissolution of a business. The seminar will also look at resolving disputes among business owners that arise after an acquisition, merger or some other change of ownership.

Among the topics this program will examine:

  • Non-competition agreements, non-disclosure agreements and other restrictions on employees’ and owners’ right to compete
  • Breach of fiduciary duty: Who has a fiduciary duty, what is the nature of that duty, what remedies are available and who has standing to assert such claim
  • Dissenter’s rights
  • Ethical issues in representing parties in business split-ups
  • Business valuations
