In the mergers and acquisitions area, often the last thing thought about in the "business deal" is employee benefits. This chapter summarizes the rules which apply to employee benefit plans and explains the differences which arise depending on the type of business entity which envolved and /or the type of worker involved. The chapter also highlights potential problem areas relating to employee benefit plans for practitioners to be aware of when negotiating mergers and acquisitions.
