Mr. Brossman is a partner in the Business Department and in the Bankruptcy and Restructuring Department of Saul Ewing LLP, Office Managing Partner of its Harrisburg office. His practice has concentrated on asset and stock acquisitions and dispositions, commercial transactions, corporate counseling, debt structuring and restructuring, entity formation, joint ventures, non-profit corporation and business corporation governance, strategic alliances, venture capital investment and general corporate and commercial law. He has extensive experience in documenting, negotiating and enforcing various types of credit facilities and lending transactions, including acquisition, secured and unsecured working capital, second and subordinate lien, real-estate secured, letter of credit, venture capital, private equity, mezzanine and Debtor-in-Possession financing and equipment leasing transactions. Mr. Brossman is currently a member of the executive committee of the council for the Business Law Section of the PA Bar Association, served on the Section's UCC Article 9 Task Force and its Third Party Legal Opinions Task Force and is chair of the Business Law Section's Bankruptcy Committee. In addition, he is a member of the Law Firm Advisory Board to the American Bar Association Working Group on Legal Opinions. He has participated on panels for national, state and local bar association groups, trade associations and industry organizations and has served for the last ten years as course planner for the Pennsylvania Bar Institute’s Business Lawyers Institute. He has spoken on the subjects of commercial lending and loan documentation, entity formation, loan restructuring and workouts, UCC Article 8 and Article 9 secured transactions, deposit account control agreements, third party opinion letters, fraudulent transfer law, debt collection practices and fiduciary duty obligations of directors and officers.
